Reporting to the Managing Director, the Company Secretary and Head of Legal Services is responsible for ensuring that the business complies with relevant legislation and regulations and keeps Board members informed of their legal and governance responsibilities. The position serves as the Business' named representative on legal documents and is responsible for ensuring that the business and its Board of Directors operate within the legal framework of the Country. It is also responsible for the shareholders registering and communicating with them as well as ensuring that dividends are paid. The position maintains company records, such as lists of directors and shareholders, and annual records.


KEY RESPONSIBILITIES

  • Advise the Managing Director and the Board of Directors and management on the issues of law, compliance, corporate governance, and legal framework of governing banking industry in Burundi. 
  • Manage Legal and Regulatory Risks of the Bank.
  • Prepare and maintain the Board calendar and ensure that all Board and Committee meetings are held in timely manner.
  • Organizing, preparing Agendas for and taking minutes of the Board meetings, Board Committees meetings, Annual General meetings and Executive Committee meetings.
  • Maintaining statutory books, including register of members, directors, and shareholders.
  • Dealing with correspondences, collating information, and writing reports, ensuring Board decisions made are communicated to the relevant company stakeholders.
  • Proactively identify key legal risks and their mitigation to promote KCB Burundi business objective and sustainability.
  • Effective management of litigation and associated costs

 


QUALIFICATIONS AND EXPERIENCE

 For the above position, the successful applicant should have:

  • University Degree in Law
  • Master's degree in laws/business administration/ Banking will be added as Advantage.
  • Professional Qualifications in Advocate of High Court
  • Total Professional experience of 8 years banking sector (Most preferred in Litigations (1yr), Board (3yrs), DCG (3yrs), Contracts(3yrs), Governance (1 yr) and Banking Operations (1yr)
  • Excellent planning, organization and Business report writing skills.
  • Excellent the ability to anticipate issues and to design appropriate solutions.
  • Excellent planning, organizing, problem solving and analytical skills.
  • A good understanding of strong risk management practices paying particular attention to operational, reputational, compliance and ethical risks.
